 Directive 2017/1132/EU

I. Description

The Directive relating to certain aspects of company law (2017/1132/EU) codifys most parts of the European Company Law.
By European Company Law Directive the Directives 82/891/EEC, 89/666/EEC, 2005/56/EC, 2009/101/EC,   2011/35/EU and   2012/30/EU are repealed on the 20th July 2017.

The interest of codifying is the clarity and rationality of European company law to create a clearer and more accesible law of the Union and its citiziens. This aim cannot be achieved so long as numerous provisions that have been substantially amended several times.

There are no changes of substance within the repealed Directives. Just a consolidation for clarity has been aplied.

Content of the Directive (2017/1132/EU) are mainly the incorporation, disclosure and capital rules and mergers and divisions of limited liability companies.
